Terms of Service.

Eligibility & Application

Membership is offered subject to availability and to EVOLVE's sole discretion. Submitting an application does not, by itself, create a membership.

• Age. You must be at least 18 years old to apply for membership independently. Applicants aged 16 or 17 may join only with the prior written consent of a parent or legal guardian, who agrees to be bound by these Terms on the minor's behalf and accepts joint responsibility for the minor's compliance. We do not admit members under 16.
• Identification. You agree to provide a valid government-issued photo ID (Vietnamese citizen ID, passport or comparable document) on request, both during application and for facility access.
• Truthfulness. You confirm that the information provided in your application, including your contact details and health declaration, is true, complete and accurate. We may decline or revoke membership if any information is found to be false or misleading.
• Approval. EVOLVE may accept or refuse any application without giving reasons. Where an application is refused, any payment received in advance will be refunded in full.

Membership & Access

Once approved and activated, your membership entitles you to access and use the facility and services described in your selected plan, subject to these Terms.

• Personal & non-transferable. Memberships are issued to a single named individual. They may not be sold, lent, gifted or otherwise transferred to any other person.
• Sharing access. Sharing your access card, fingerprint, code or any other access credential is strictly prohibited and may result in immediate termination without refund.
• Facility access. Access is granted only to active members during published opening hours, subject to capacity and to staff or security instructions. EVOLVE reserves the right to refuse or revoke access to any individual whose presence may pose a risk to other members, staff or the facility.
• Card replacement. Lost or damaged access cards may be reissued at our then-current administrative fee.

Pricing & Payment

All fees are quoted in Vietnamese Đồng (VND) and are inclusive of any applicable Vietnamese taxes unless stated otherwise.

• Activation. Memberships are activated only after the full agreed amount has been received and confirmed by EVOLVE.
• Payment methods. Payments are currently processed via local bank transfer (QR code) or other methods we may make available from time to time.
• Proof of payment. You agree to provide accurate payment confirmation and to include your full legal name in the transfer description so we can match the payment to your application.
• Late or disputed payments. If a payment is reversed, charged back, or otherwise not honoured, EVOLVE may suspend or terminate your access and recover any outstanding amounts plus reasonable administrative costs.
• Price changes. Prices may change for new applications without notice. Existing memberships are not affected for the remainder of their committed term.

Cancellation & Refunds

Each membership corresponds to a fixed commitment term selected at the time of purchase. The term cannot be shortened unilaterally by you once activated, except as expressly provided below or required by Vietnamese consumer-protection law.

• Cooling-off (online applications). Where a membership has been concluded entirely online and the gym has not yet been used, you may cancel within three (3) calendar days of payment confirmation by written notice to hello@evolvgym.com, in which case the paid amount will be refunded after deduction of any reasonable administrative costs incurred. Once you have entered the facility or used any service, the membership is considered commenced and cooling-off no longer applies.
• After activation. Save for the cooling-off above and any other right granted by mandatory Vietnamese law, all payments are final and non-refundable once the membership is active.
• Exceptional circumstances. EVOLVE may, at its sole discretion, grant a partial credit or refund in exceptional circumstances such as a documented serious medical condition certified by a qualified physician that prevents continued training. Such concessions are granted as a goodwill gesture and do not constitute a precedent or admission of any obligation.
• Termination by EVOLVE for breach. No refund is owed where a membership is terminated for breach of these Terms (see §14).

Pause & Freezing

Some plans include the right to pause your membership ("freeze") for a limited number of days during the committed term. Where this right applies it is set out in your plan description (for example: 14 days for the Discipline plan; up to 30 days per year for the Lifestyle plan). The following rules apply to all pause requests:

• Requests must be submitted in advance in writing (email or WhatsApp) and become effective only once confirmed by EVOLVE.
• Frozen days extend the end-date of the membership by the same number of days.
• Unused frozen days do not roll over to subsequent terms and have no monetary value.
• Memberships that do not include a pause clause may not be paused.

Health Declaration

By applying for membership and entering the facility, you confirm that:

• You are in good general health and physically capable of participating in the activities you intend to undertake.
• You have disclosed to EVOLVE, accurately and in good faith, any medical condition, injury, pregnancy, recent surgery, allergy, medication or other circumstance that may be relevant to your safety or that of others during training.
• You have been advised, and understand, that you should consult a qualified physician before starting any new training programme, especially if you are over 35 years old, sedentary, recovering from injury or surgery, pregnant, or living with a chronic condition.
• You will inform EVOLVE staff promptly of any change in your health status that may affect your ability to train safely.

Assumption of Risk & Waiver

Physical exercise carries inherent risks of injury. By applying for membership, entering the facility and participating in any activity, you knowingly and voluntarily acknowledge and accept the following:

• Strength training, conditioning, mobility work, group training, personal training, and the use of free weights, machines, cardiovascular equipment, recovery facilities and any other equipment or programme offered by EVOLVE may result in injury, including but not limited to muscle strains, sprains, bruising, fractures, ligament or tendon damage, dehydration, heat exhaustion, cardiac events and, in rare cases, serious or permanent injury or death.
• You are participating voluntarily, in full awareness of these risks, and you assume full responsibility for them, whether known or unknown.
• You are responsible for using equipment correctly, requesting assistance when uncertain, training within your individual capability, and stopping any activity that causes pain or distress.
• To the maximum extent permitted by Vietnamese law, you release EVOLVE, its owners, directors, managers, coaches, staff, contractors and affiliates from any claim, demand, action, cost, liability or expense arising from injury, illness, loss or damage suffered in connection with your use of the facility or services, except where such injury is directly caused by EVOLVE's gross negligence or wilful misconduct.

Nothing in this section limits any right you may have under mandatory Vietnamese law that cannot lawfully be excluded.

Limitation of Liability

To the maximum extent permitted by Vietnamese law:

• EVOLVE is not liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, opportunity, data or goodwill.
• EVOLVE's aggregate liability arising out of or in connection with these Terms, the membership or your use of the services, regardless of the cause of action, is limited to the total amount actually paid by you to EVOLVE under the membership giving rise to the claim during the twelve (12) months immediately preceding the event giving rise to the claim.
• The exclusions and limitations in these Terms apply to the maximum extent permitted by law and do not affect your rights as a consumer that cannot be lawfully excluded under the Vietnamese Law on Protection of Consumer Rights.

Personal Property

Personal belongings brought into the facility remain at all times your sole responsibility. EVOLVE provides lockers and shower facilities as a convenience. Use of lockers is subject to the following rules:

• Lockers are for short-term use only, on a per-visit basis. Items left overnight may be removed and held for a reasonable period before being disposed of or donated.
• EVOLVE is not liable for the loss, theft or damage of any item, including but not limited to electronics, jewellery, watches, wallets, cash, cards, documents, clothing or training equipment, whether stored in a locker or anywhere else on or near the premises.
• You agree not to leave items of significant value at the facility. We strongly recommend you do not bring such items in the first place.

Code of Conduct

EVOLVE is a club. Membership is conditional on members maintaining behaviour that respects the facility and the people in it. The following rules apply at all times:

• Respect. Treat staff, coaches, members and guests courteously. Harassment, intimidation, threatening behaviour, racist, sexist or homophobic language and any form of physical violence are strictly prohibited.
• Equipment. Use equipment as intended, return it to its place, clean it after use, and report any malfunction or damage to staff promptly. Wilful or reckless damage to equipment will be charged at replacement cost.
• Hygiene. Wear clean, appropriate athletic clothing and closed-toe athletic footwear on the floor. Use a towel on shared equipment. Shower facilities are provided.
• Time and capacity. Be considerate of other members during peak hours and follow any reasonable instruction from staff regarding equipment rotation or session length.
• Drugs & alcohol. Members may not enter the facility while under the influence of alcohol or any controlled substance, and may not bring such substances onto the premises. Use or supply of performance-enhancing drugs in or around the facility is strictly prohibited.
• Recording. See §11 below.
• Outside training services. Members may not provide paid coaching, personal-training or similar commercial services to other members or guests on the premises without the prior written consent of EVOLVE.

Violation of this code may result in a warning, suspension or, in serious or repeated cases, immediate termination of membership without refund (see §14).

Photo & Video

By EVOLVE. EVOLVE may, from time to time, capture photographs and video at the facility for editorial, marketing or social-media purposes. Where you appear identifiably in such material, we will obtain your separate consent before use. You may withdraw that consent at any time by writing to hello@evolvgym.com; we will cease future use and remove the relevant content from active marketing channels within a reasonable period.

By members and guests. Out of respect for the privacy of other members, you may not photograph, film or audio-record any other person at the facility without that person's express prior consent. Recording in changing rooms, showers and bathrooms is forbidden under any circumstances. EVOLVE may require deletion of any non-compliant content and may terminate the membership of any person found to have violated this clause.

Guests

Guests may visit the facility only when accompanied by an active member, after registering at reception, presenting valid photo ID, and signing a Guest Waiver. Guests are subject to all applicable provisions of these Terms (including §6, §7, §10 and §11). The introducing member is jointly responsible for the guest's conduct and any damage caused. EVOLVE may refuse entry to any guest at its sole discretion and may set a guest fee from time to time.

Hours, Closures & Force Majeure

Operating hours. Published opening hours (currently Monday to Sunday, 8:00 AM – 12:00 AM) may change with reasonable notice for operational reasons. Hours may also be reduced for public holidays, weather, maintenance or staff training.

Maintenance & partial closures. EVOLVE may close the facility, parts of it, or specific equipment, for cleaning, maintenance, repair, refurbishment or relocation. Short closures of this kind do not entitle members to refunds, credits or term extensions.

Force majeure. EVOLVE is not liable for any failure or delay in performance arising from causes beyond our reasonable control, including (without limitation): natural disaster, fire, flood, typhoon, earthquake, pandemic or epidemic, government order, public-health restriction, civil unrest, war, terrorism, strike, utility failure, telecommunications outage, internet failure, or supply-chain disruption. In a force-majeure event lasting more than fifteen (15) consecutive days, EVOLVE will, where reasonably possible, extend the affected memberships by the period of the disruption. No further compensation is owed.

Termination by EVOLVE

EVOLVE may suspend or terminate your membership, with immediate effect and without refund, in any of the following cases:

• Material or repeated breach of these Terms or the Code of Conduct (§10).
• Conduct that endangers other members, staff or guests, or that damages the facility or its reputation.
• Provision of false or misleading information at any stage of the application or membership.
• Sharing of access credentials with a non-member.
• Non-payment, charge-back or reversal of payment.
• Conviction for, or credible allegation of, conduct that is incompatible with the safety or well-being of the EVOLVE community.

EVOLVE may also terminate any membership for convenience by written notice, with a pro-rata refund of any unused, paid-in-advance term, less reasonable administrative costs.

Changes to Terms or Services

EVOLVE may modify these Terms, the facility, the equipment, the schedule of classes or coaching, the available plans, and the operating hours, from time to time. Material changes will be notified to active members by email or in-club posting at least fifteen (15) days before they take effect. Continued use of the facility or services after the effective date constitutes acceptance of the modified Terms.

Intellectual Property

The EVOLVE name, logo, lightning-bolt mark, photographs, videos, programme names, written materials, and the design and content of the EVOLVE website and social-media channels are the property of EVOLVE or its licensors and are protected by Vietnamese intellectual-property law and applicable international treaties. You may not copy, reproduce, distribute, modify or commercially exploit any of this material without the prior written consent of EVOLVE.

Severability

If any provision of these Terms is held by a court or competent authority to be invalid, illegal or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or, if not possible, severed from these Terms. The remaining provisions will continue in full force and effect.

Governing Law & Dispute Resolution

These Terms, your membership, and any dispute or claim arising out of or in connection with them, including their formation, interpretation and termination, are governed by and construed in accordance with the laws of the Socialist Republic of Việt Nam, without regard to conflict-of-laws principles.

The parties agree to attempt in good faith to resolve any dispute amicably through direct discussion within thirty (30) days. If a dispute cannot be resolved by direct discussion, it will be submitted to the competent People's Court of Đà Nẵng City for final resolution. Nothing in this section prevents EVOLVE from seeking urgent injunctive or equitable relief in any competent forum.
